1. Purpose

ALmax Core-X operates as a digital commerce and transaction management platform that enables independent businesses, organizations, vendors, and service providers ("Merchants") to offer products and services through websites, applications, and digital properties powered by the Core-X ecosystem.

To facilitate secure and compliant online transactions, ALmax Core-X may process payments through approved platform payment accounts, merchant accounts, or authorized payment gateway integrations.

2. Payment Processing Disclosure

Customers acknowledge and agree that the business name displayed during payment may differ from the name of the merchant selling the product or service.

For example:

  • A customer may purchase a product offered by CSD Farms and Research Centre.
  • The purchase may occur on a website such as StarlightNG.com powered by ALmax Core-X.
  • During checkout, the payment recipient displayed by the payment gateway may appear as "Starlight", "ALmax", or another approved payment processing entity.

This arrangement is part of the Core-X marketplace infrastructure and does not alter the identity of the actual merchant responsible for fulfilling the order.

3. Marketplace Processing Model

ALmax Core-X may act as:

  • A technology provider.
  • A transaction facilitator.
  • A marketplace operator.
  • A payment collection intermediary.

Payments collected through approved gateway accounts are received on behalf of participating merchants and are subsequently managed through the Core-X settlement system.

The payment account displayed during checkout should not be interpreted as ownership of the product or service being purchased.

4. Merchant Responsibility

The merchant remains solely responsible for:

  • Product quality.
  • Service delivery.
  • Shipping and logistics.
  • Customer support.
  • Warranties and guarantees.
  • Compliance with applicable laws and regulations.

The merchant's identity shall be disclosed within the product, service, order, invoice, or merchant information page where applicable.

5. Settlement Protection

To protect buyers and merchants, ALmax Core-X may delay settlement of funds until one or more of the following conditions have been satisfied:

  • Successful order confirmation.
  • Proof of shipment.
  • Proof of delivery.
  • Service completion confirmation.
  • Expiration of dispute period.
  • Contract fulfillment verification.

Funds may be temporarily held by the Core-X settlement system during this verification period.

  • Non-delivery of goods.
  • Failure to provide contracted services.
  • Fraudulent transactions.
  • Material misrepresentation of products or services.

During an investigation, settlement may be suspended until a resolution is reached.

7. Merchant Settlement

Upon successful fulfillment and verification of the transaction, ALmax Core-X shall release eligible funds to the merchant according to the agreed settlement schedule.

Settlement timelines may vary depending on:

  • Payment gateway requirements.
  • Risk assessments.
  • Regulatory compliance checks.
  • Order fulfillment status.
  • Internal marketplace policies.

8. Regulatory Compliance

ALmax Core-X reserves the right to collect and verify merchant information, including:

  • Business registration documents.
  • Tax documentation.
  • Identity verification records.
  • Bank account verification.
  • Additional Know Your Business (KYB) requirements.

Merchants agree to provide accurate and up-to-date information when requested.

9. Customer Acknowledgment

By completing a transaction through a Core-X powered platform, customers acknowledge that:

  1. Payment may be processed through an approved marketplace account.
  2. The payment recipient displayed by the payment gateway may differ from the merchant name.
  3. The purchased product or service remains the responsibility of the identified merchant.
  4. ALmax Core-X may hold and settle funds according to its buyer protection and marketplace policies.
  5. Completion of payment constitutes acceptance of these terms.
